These Terms & Conditions ("Terms") govern your use of the PlanUpPro web application and website (collectively, the "Service") operated by VIKEN SIA ("we", "us", "our", or "PlanUpPro"), registered in Latvia.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Description of Service

PlanUpPro is an AI-powered quote and estimate generator designed for independent contractors and small construction businesses. The Service allows users to create professional, itemized quotes by describing jobs through voice or text input.

The Service is provided solely for business use by construction professionals and other business users. By using the Service, you confirm that you are acting in the course of your trade or business and not as a consumer.

2. Account Registration

To use PlanUpPro, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Keep your account credentials confidential and secure
  • Be responsible for all activity that occurs under your account
  • Secure the email accounts, devices, and communication channels you use to access the Service and to communicate with your clients — including using strong passwords and two-factor authentication where available
  • Notify us immediately of any unauthorized use of your account or any suspected security incident

3. Subscription & Payments

PlanUpPro is offered as a paid subscription service. By subscribing, you agree to the following:

  • All payments are processed securely through Paddle, our authorized payment processor (Merchant of Record). We do not store your payment card details.
  • Subscriptions renew automatically at the end of each billing period unless cancelled.
  • Prices may change with advance notice. Any price change will apply to the next billing cycle after the notice.
  • You may cancel your subscription at any time. See our Cancellation Policy for details.

Paddle acts as the Merchant of Record for all transactions. By completing a purchase, you also agree to Paddle's Terms of Service.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You may not:

  • Use the Service for any illegal, fraudulent, or unauthorized purpose
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Upload or transmit any malware, viruses, or harmful code
  • Use the Service to generate false, misleading, or fraudulent quotes intended to deceive clients
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service

5. AI-Generated Content & Pricing Disclaimer

PlanUpPro uses artificial intelligence to generate quotes, estimates, and line items based on your input. All generated quotes and price suggestions are non-final and are provided solely as a helpful starting point. You acknowledge and agree that:

  • All AI-generated prices, estimates, and line items are suggestions only — they are not final offers, binding quotes, or guaranteed pricing
  • Prices are based on general market data and may not accurately reflect local pricing, material costs, or labor rates in your area
  • You are solely responsible for reviewing, verifying, adjusting, and approving all quotes before sending them to your clients
  • PlanUpPro is a tool that assists you in creating quotes — the final pricing decision is always yours
  • PlanUpPro does not guarantee the accuracy, completeness, or suitability of any AI-generated content
  • PlanUpPro assumes no responsibility or liability for any financial losses, disputes, or damages arising from quotes you send to your clients based on AI-generated suggestions

By using the Service, you agree that PlanUpPro serves as an assistant tool only, and that all professional and financial responsibility for the quotes you create and send remains entirely with you.

5a. Tax Calculations

PlanUpPro allows you to configure a tax rate and tax label in your profile settings. Tax is calculated automatically by the application based on these settings. You acknowledge and agree that:

  • You are solely responsible for ensuring the correct tax rate is configured for your jurisdiction
  • PlanUpPro does not provide tax advice and does not verify the accuracy of tax rates you configure
  • Tax laws vary by location and may change — it is your responsibility to keep your tax settings current
  • PlanUpPro assumes no liability for incorrect tax calculations resulting from misconfigured settings

5b. Voice Recordings

PlanUpPro offers voice-to-text functionality that allows you to dictate job descriptions. Voice recordings are:

  • Captured temporarily in your browser and transmitted to our servers for transcription
  • Processed immediately by third-party transcription services
  • Not permanently stored on our servers — recordings are discarded after transcription
  • Subject to the privacy policies of our transcription service providers

5c. Third-Party Services

PlanUpPro integrates with third-party services to provide its core functionality, including:

  • AI services — for generating and revising quotes and estimates based on your input
  • Speech-to-text services — for transcribing voice recordings into text
  • Cloud infrastructure — for data storage, authentication, and file hosting
  • Paddle — for payment processing (Merchant of Record)

Your use of PlanUpPro involves data being processed by these services, subject to their respective terms and privacy policies. We are not responsible for any issues arising from third-party service outages, changes, or limitations.

5d. Shared Document Links

The Service allows you to generate shareable links for quotes and other documents. Anyone who has a share link can view the document it points to — including any client contact details and pricing it contains — without logging in. You alone decide whether to generate a share link, whom to send it to, and through which channel, and you are responsible for the security of those channels and for any further forwarding, disclosure, or interception of the link. Treat a share link like the document itself.

5e. Third-Party Fraud & Payment Verification

Criminals sometimes impersonate legitimate businesses — using lookalike email addresses, phone calls, or copied documents — to redirect client payments. This type of fraud typically originates from compromised email accounts or intercepted communications outside our systems. You acknowledge and agree that:

  • PlanUpPro never contacts your clients directly, never requests payments from your clients, and never sends payment instructions on your behalf — any such communication does not come from us
  • We are not responsible for the acts of third parties who impersonate you, your business, or your documents, or who contact your clients using information obtained outside our systems
  • You are responsible for verifying payment instructions with your clients through a second, independent channel and for advising your clients to do the same before transferring funds
  • If you become aware of fraud involving your business or documents, you should report it to the relevant authorities and inform us promptly

6. Intellectual Property

The Service, including its design, code, features, branding, and documentation, is owned by VIKEN SIA and protected by copyright and intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our written consent.

Quotes and documents you create using the Service remain your property. You grant us a limited license to process your data solely for the purpose of providing the Service.

7. User Data

We collect, use, and process data as described in our Privacy Policy. By using the Service, you consent to our data practices as outlined therein.

8. Cancellation Policy

You may cancel your subscription at any time, no questions asked. We do not offer refunds — instead, we offer a 3-day free trial so you can try PlanUpPro before you pay. For full details, please see our Cancellation Policy.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. The quotes, estimates, and documents generated by the Service are for informational purposes only and do not constitute legal, financial, or professional advice.

10. Limitation of Liability

To the maximum extent permitted by law, VIKEN SIA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

VIKEN SIA shall likewise not be liable for any losses arising from fraud, impersonation, or other criminal acts of third parties, including fraud carried out using compromised email accounts, intercepted communications, or document links you share.

11. Indemnification

You agree to indemnify and hold VIKEN SIA harmless from any claims, losses, damages, liabilities, costs, and expenses (including legal fees) arising from your use of the Service or any violation of these Terms.

12. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, if we reasonably believe you have violated these Terms or engaged in conduct harmful to the Service or other users.

13. Modification of Terms

We may update these Terms from time to time. We will notify you of significant changes by posting the updated Terms on this page with a new "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Latvia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Latvia.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy and Cancellation Policy, constitute the entire agreement between you and VIKEN SIA regarding the use of the Service. Use of the PlanUpPro application itself is additionally governed by the Terms of Service presented within the application; in the event of a conflict concerning use of the application, the in-app Terms of Service prevail.
